Terms of Use

Last Updated: August 18, 2026 Effective Date: August 18, 2026

This is a legal agreement. Please read it carefully. It contains an arbitration provision and class action waiver (Section 21) that affects your rights.

1. Acceptance of Terms

These Terms of Use ("Terms") form a binding agreement between you ("you," "Customer," or "User") and RAMP.AI LLC, a New Jersey limited liability company ("Ramp AI," "Company," "we," "us," or "our"), governing your access to and use of the Ramp AI CRM platform, including our website, dashboard, APIs, and AI agent features (collectively, the "Service").

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. Our Data Processing Addendum is incorporated into these Terms and applies to our processing of personal data on your behalf.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are accessing the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

3. Description of Service

Ramp AI provides a multi-tenant customer relationship management ("CRM") platform designed for small service businesses (including salons, contractors, and clinics). The Service includes AI agent features — built on Google Gemini, accessed via Google's Agent Development Kit (ADK) and Vertex AI — that can handle customer messaging, appointment scheduling, content generation, and billing follow-up communications on your behalf ("AI Services").

We may add, modify, or discontinue features of the Service at any time, consistent with Section 19 (Modifications to These Terms).

4. Accounts

You must provide accurate, current information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@rampwithai.today of any unauthorized use.

5. Nature of AI Services; Accuracy Disclaimer

The Service uses artificial intelligence — specifically, Google's Gemini models accessed via Google ADK and Vertex AI — to generate messages, scheduling suggestions, content, and other output ("AI Output"). You acknowledge and agree that:

  • AI Output may be inaccurate, incomplete, outdated, or entirely fabricated ("hallucinated"). AI Output may appear authoritative or confident even when it is wrong.
  • AI Output is provided "AS IS" and used at your own risk. We do not warrant the accuracy, reliability, completeness, or quality of any AI Output, and we expressly disclaim all liability with respect to AI Output.
  • You are solely responsible for reviewing and verifying AI Output before relying on it, sending it to your customers, or using it to make any decision — including messages sent to your end customers, appointment confirmations, billing communications, and generated content.
  • AI Output is not professional advice. Nothing generated by the Service constitutes medical, legal, financial, tax, or other professional advice, regardless of the industry context. You should not rely on AI Output as a substitute for advice from a qualified professional, and you are responsible for ensuring any customer-facing use of AI Output complies with the professional and regulatory obligations applicable to your own business.
  • The specific AI models and providers underlying the Service may change over time; we will make reasonable efforts to disclose material changes but do not guarantee identical behavior across model versions.
  • AI Output may not be unique. Because AI Output is generated probabilistically, similar or identical output may be generated for other customers of the Service, and AI Output is not guaranteed to be original, novel, or protectable.

6. AI Identity Disclosure (Bot Transparency)

Because the AI Services communicate with your end customers using automated, AI-generated messages, applicable bot-disclosure and AI-transparency laws (for example, California Business & Professions Code § 17941 and, where applicable, the EU AI Act) may require that end customers be informed they are interacting with an automated system rather than a human.

  • Disclosure mechanism. Ramp AI operates the AI models and the messaging channels and provides the means of disclosing to end customers that they are interacting with an AI/automated system.
  • Your covenants. You will not disable, remove, circumvent, or obscure any AI-identity disclosure the Service provides, and you will not configure any agent persona (including its name, avatar, biography, age, or gender), knowledge-base content, or other setting in a manner designed to deceive end customers into believing the AI is a human where disclosure is required by law. You remain responsible for compliance with all AI-transparency, bot-disclosure, and communications-consent laws applicable to your business and your end customers (see also Section 16, SMS Terms).
  • Indemnification. You will indemnify Ramp AI for any claim arising from your breach of this Section, in addition to the indemnities in Section 15.

7. User Content & Data License

"Customer Data" means the data you and your end customers submit to or generate through the Service (e.g., contact records, appointment details, messages, uploaded files).

As between you and Ramp AI, you retain all right, title, and interest in Customer Data. You grant Ramp AI a non-exclusive, worldwide, royalty-free license to access, use, host, copy, transmit, and process Customer Data solely as necessary to provide, maintain, secure, and improve the Service to you.

We do not use your Customer Data to train, fine-tune, or improve AI models beyond what is necessary to provide the Service to you, except where you have separately opted in to a program that says otherwise. This commitment should be read together with our Privacy Policy and Data Processing Addendum, which govern data handling in more detail; for privacy-specific terms, the Privacy Policy and DPA control.

Separately, we may collect and use aggregated, de-identified Usage Data (data about how the Service is used that does not identify you or your end customers) to operate, analyze, and improve the Service and AI Services generally. Usage Data is owned by Ramp AI.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any law, or infringe the intellectual property, privacy, or other rights of any third party;
  • Generate, send, or store content that is unlawful, defamatory, deceptive, harassing, or fraudulent;
  • Send unsolicited or unconsented communications, or otherwise violate telemarketing, SMS-consent, or anti-spam laws (including the TCPA, CAN-SPAM, and CTIA messaging guidelines) with respect to your own end customers;
  • Submit, upload, or otherwise process any "Protected Health Information" as defined under HIPAA (45 CFR § 160.103) through the Service — the Service is not offered as a HIPAA Business Associate and no Business Associate Agreement is available at this time;
  • Reverse engineer, decompile, or attempt to derive the source code or underlying model weights of the Service or its AI models;
  • Probe, scan, or test the vulnerability of the Service, or interfere with its security or operation;
  • Build a competitive product using the Service or AI Output.

Export & sanctions compliance. You will not access or use the Service in violation of U.S. export control laws or U.S. (or other applicable) economic or trade sanctions laws, or in any manner that may cause Ramp AI to violate such laws. You represent that you are not located in, and will not access the Service from, a country or region subject to comprehensive U.S. embargo, and that you are not named on any U.S. government denied-party, restricted-party, or sanctioned-party list.

9. Fees, Billing & Auto-Renewal

Subscription fees. The fees for the Service are those presented to you at signup or on your order page at the time you subscribe. All fees are stated in U.S. dollars.

Free trial. We offer a 7-day free sandbox trial. To start a trial, you may be required to provide payment information. Unless you cancel before the trial ends, your subscription will automatically begin and your payment method will be charged the then-current subscription fee starting on the date disclosed at signup, and will automatically renew on a recurring basis until you cancel.

Before you provide billing information, we will clearly and conspicuously disclose: (i) that the trial will convert to a paid subscription unless canceled, (ii) the exact date of first charge, (iii) the amount that will be charged, and (iv) how to cancel. You may cancel your trial or subscription at any time through your account settings or by contacting support@rampwithai.today, and cancellation will be no more difficult than the process used to sign up.

Billing. Fees are billed in advance and, except as required by law or stated in Section 10 (Cancellation & Refund Policy), are non-refundable. You authorize us to charge your payment method (processed via Stripe) for all fees due. You are responsible for all applicable taxes.

Price changes. We may change our fees with at least 30 days' advance notice; continued use after a price change takes effect constitutes acceptance.

10. Cancellation & Refund Policy

You may cancel your subscription at any time through your account settings or by contacting support@rampwithai.today. Cancellation takes effect at the end of your current billing period; you will retain access to the Service through that date, and no further charges will be made.

Refunds. If you are not satisfied with the Service, you may request a full refund of your most recent subscription charge within fourteen (14) days of that charge by contacting support@rampwithai.today. After that 14-day window, fees are non-refundable except where the law requires otherwise or where we fail to cure a material breach of these Terms.

11. Third-Party Services (Stripe, Google)

The Service relies on third-party providers, including Stripe (for payment processing, via Stripe Connect) and Google (for AI Services via Gemini, Google ADK, and Vertex AI, and other Google Cloud infrastructure). Your use of payment features is also subject to Stripe's terms, and use of AI Services is subject to Google's applicable terms, to the extent Google's terms flow down to end users.

We do not control and are not responsible for the acts, omissions, availability, or performance of these third-party providers. We disclaim all warranties with respect to third-party services, and you agree to look solely to the applicable third-party provider for issues arising from their services.

12. Intellectual Property Ownership

Ramp AI and its licensors own all right, title, and interest in and to the Service, including all software, AI configurations (excluding the underlying Google Gemini models, which remain Google's), documentation, and Ramp AI trademarks. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

13. Confidentiality

Each party may receive confidential information of the other in connection with the Service. Each party agrees to protect the other's confidential information using at least a reasonable degree of care, and not to disclose it except to representatives who need it and are bound by confidentiality obligations, or as required by law (with reasonable advance notice where legally permitted).

14. Term & Termination; Data Export; Suspension

These Terms remain in effect while you use the Service. Either party may terminate for the other's uncured material breach after 30 days' written notice and an opportunity to cure. We may also suspend or terminate your account for non-payment, violation of Section 8 (Acceptable Use), or if required by law.

Suspension for harm. In addition, we may suspend your access to the Service, without liability to you, if in our reasonable judgment your use of the Service poses a security risk, may harm the Service, our systems, or other customers, or may expose Ramp AI to liability. Where practical, we will use commercially reasonable efforts to notify you and restore access once the issue giving rise to the suspension is resolved.

API usage limits. Use of any Ramp AI API is subject to reasonable rate limits and usage limits that we may set and change from time to time, and you agree to operate within those limits.

Data export. Upon termination, you may export your Customer Data for 30 days after the termination date, through the Service's available export tools or by written request to support@rampwithai.today. After that period, we may delete Customer Data in accordance with our data retention practices, described in the Privacy Policy and Data Processing Addendum.

15. Warranty Disclaimer; Limitation of Liability; Indemnification

Warranty disclaimer. THE SERVICE, INCLUDING ALL AI SERVICES AND AI OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, INCLUDING AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

RAMP AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO RAMP AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

This limitation applies regardless of the legal theory of liability and even if a remedy fails its essential purpose. This limitation — both the damages exclusion and the aggregate cap — does not apply to: (i) either party's indemnification obligations under this Section; (ii) your breach of Section 8 (Acceptable Use); (iii) either party's breach of Section 13 (Confidentiality); or (iv) either party's gross negligence, willful misconduct, or fraud.

Indemnification by Ramp AI. We will defend you against third-party claims alleging that the Service (excluding AI Output, Customer Data, and third-party services) infringes that party's intellectual property rights, and will indemnify you for resulting damages, subject to your prompt notice and cooperation. This paragraph states Ramp AI's entire liability, and your sole and exclusive remedy, for any claim that the Service infringes a third party's intellectual property rights.

Indemnification by you. You will defend and indemnify Ramp AI against third-party claims arising from (a) your use of the Service in violation of these Terms or applicable law, (b) your Customer Data, or (c) your use of AI Output in a manner inconsistent with Section 5 (Nature of AI Services).

16. SMS Terms

By providing your mobile number, you consent to receive account, onboarding, and support text messages from Ramp AI related to the Service. Message and data rates may apply. Message frequency varies. You may opt out at any time by replying STOP; reply HELP for help. Consent to receive SMS messages is not a condition of purchasing any goods or services. Carriers are not liable for delayed or undelivered messages.

This Section governs SMS from Ramp AI to you (the business customer) regarding your account. It is separate from your own use of the AI Services to text your end customers, which is governed by Sections 5, 6, and 8, and by your own compliance obligations as the sender of record for your business's messages — including your own opt-in, consent, and messaging-registration requirements for your end customers.

17. Service Level Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. An SLA (Service Level Agreement) with specific uptime commitments is available to Enterprise customers under a separate written agreement. No specific uptime percentage is promised under these Terms.

18. Governing Law & Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Subject to Section 21 (Dispute Resolution), the state and federal courts located in Morris County, New Jersey have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to personal jurisdiction there.

19. Modifications to These Terms

We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-app notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to a change, you may terminate your account before it takes effect.

20. Force Majeure

Neither party is liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, pandemic, or failures of third-party infrastructure (including Google Cloud, Stripe, or Twilio). Payment obligations are not excused by this Section.

21. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court, except that either party may bring an individual claim in small claims court.

Class action waiver. Disputes must be brought on an individual basis only. You and Ramp AI each waive the right to participate in a class action, class arbitration, or representative action. If this class action waiver is found unenforceable, the entire arbitration provision in this Section will be unenforceable, and disputes will proceed in the courts identified in Section 18.

30-day opt-out. You may opt out of this arbitration provision entirely by sending written notice to RAMP.AI LLC, Attn: Legal, 186 Columbia Turnpike #5-177, Florham Park, NJ 07932 (or by email to support@rampwithai.today with the subject "Arbitration Opt-Out") within 30 days of first accepting these Terms. Opting out of arbitration does not affect any other provision of these Terms.

22. Assignment; Publicity

Neither party may assign these Terms without the other's prior written consent, except that Ramp AI may assign these Terms without consent in connection with a merger, acquisition, or sale of substantially all its assets.

Publicity. Ramp AI may identify you by name and logo as a Ramp AI customer on our website, in sales materials, and in other marketing materials. You may opt out of this at any time by sending written notice to support@rampwithai.today.

Your trademarks in the Service. If you upload your logo or other brand assets to the Service (for example, for your business's landing page, quotes, or messaging personas), those assets are Customer Data: we use them solely to provide the Service to you under Section 7 (User Content & Data License). Uploading them does not by itself grant the marketing-publicity right above, which remains subject to your opt-out.

23. Severability; Entire Agreement

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

These Terms, together with the Privacy Policy and the Data Processing Addendum incorporated by reference, constitute the entire agreement between you and Ramp AI regarding the Service, and supersede all prior agreements on the subject.
